We are not responsible for adverse consequences resulting from your failure to cooperate in a timely manner.

You agree not to disclose our legal strategies, advice, or work product to third parties without our prior written consent, except as required by law or as necessary to implement the agreed-upon legal strategy.

Fees & Payment

All fees for legal services provided by OFAC Lawyers Group are established by written agreement between the parties. Our fee structures may include hourly rates, flat fees, retainer arrangements, or other billing methods as specified in the engagement agreement. No fees are owed unless and until a written engagement agreement has been executed.

Payment terms, including due dates, accepted payment methods, and billing cycles, will be clearly outlined in your engagement agreement. Unless otherwise specified in writing, invoices are due and payable within thirty (30) days of the invoice date. You are responsible for all costs and expenses incurred in connection with your representation as detailed in the engagement agreement, which may include filing fees, expert witness fees, court costs, travel expenses, research costs, and other disbursements.

Late payments may result in the following consequences:

  • Assessment of interest on overdue amounts at the rate specified in the engagement agreement or, if not specified, at the maximum rate permitted by applicable law;
  • Suspension of work on your matter until payment is received, subject to our ethical obligations;
  • Withdrawal from representation in accordance with applicable rules of professional conduct and the terms of the engagement agreement;
  • Referral of unpaid amounts to a collection agency or pursuit of legal action to recover outstanding fees, in which case you may be responsible for all costs of collection, including reasonable attorneys' fees.

We reserve the right to require advance payment or an additional retainer if invoices become overdue or if circumstances suggest a risk of non-payment. Any disputes regarding fees or billing must be raised in writing within thirty (30) days of the invoice date.

Limitation of Liability

To the maximum extent permitted by applicable law, OFAC Lawyers Group's total liability arising out of or related to any legal services provided, whether based on contract, tort, negligence, strict liability, or any other legal theory, shall be limited to direct damages actually incurred by the client and shall not exceed the total amount of fees paid by the client to OFAC Lawyers Group for the specific matter giving rise to the claim.

In no event shall OFAC Lawyers Group be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to loss of profits, loss of business opportunities, loss of data, reputational harm, or any other intangible losses, even if we have been advised of the possibility of such damages.

OFAC Lawyers Group shall have no liability for:

  • Actions, omissions, or decisions made by third parties, including but not limited to government agencies, regulators, courts, opposing parties, or other third parties;
  • Outcomes or decisions rendered by OFAC, other government agencies, courts, or regulatory bodies;
  • Consequences resulting from your failure to provide accurate information, to cooperate in a timely manner, or to follow our legal advice;
  • Events or circumstances beyond our reasonable control, including changes in law, regulation, or government policy;
  • Any use of information obtained from this Website or any reliance on such information prior to the establishment of a formal client-attorney relationship.

Some jurisdictions do not allow the limitation or exclusion of liability for certain types of damages. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law. These limitations of liability shall survive the termination of any client-attorney relationship.

If any provision of these Terms is held to be invalid, illegal, or unenforceable under applicable law, such provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its intent, or if such modification is not possible, such provision shall be severed from these Terms. The invalidity, illegality, or unenforceability of any provision shall not affect the validity or enforceability of any other provision of these Terms, which shall remain in full force and effect.
